Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the website and services provided by Adtorial Insights Production (“AD”, “we”, “us”, or “our”). By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.

1. About Us

Adtorial Insights Production is a creative and digital agency registered in Malaysia under Registration No. LA0062363-M, with its principal office at BO1-A-9, Menara 2 (9th Floor), KL Eco City, 3 Jln Bangsar, Kuala Lumpur, 59200, Malaysia.

2. Services

AD provides creative, events, and digital development services through three pillars:

  • Create: Branding, design, content creation, and social media management.
  • Experience: Event management, corporate events, summits, product launches, and activations.
  • Build: Website development, web and mobile application development, UI/UX design, and digital systems.

The specific scope, deliverables, timeline, and fees for any engagement will be set out in a separate written proposal, quotation, or contract (“Service Agreement”) between AD and the client. In the event of any conflict between these Terms and a Service Agreement, the Service Agreement shall prevail.

3. Use of Website

You may use our website for lawful purposes only. You agree not to:

  • Use the website in any way that violates any applicable Malaysian or international law or regulation.
  • Attempt to gain unauthorised access to any part of the website, its servers, or any connected systems.
  • Reproduce, duplicate, copy, sell, or exploit any portion of the website without our express written permission.
  • Introduce viruses, trojans, worms, or other malicious or technologically harmful material.
  • Use automated systems (bots, scrapers, etc.) to access the website without our prior written consent.

4. Intellectual Property

4.1 Our Content

All content on this website — including but not limited to text, graphics, logos, images, videos, design elements, code, and the overall layout — is the property of Adtorial Insights Production or its licensors and is protected by Malaysian and international intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content on this website without our prior written consent.

4.2 Client Work

Ownership of deliverables created during a client engagement will be governed by the applicable Service Agreement. Unless otherwise agreed in writing:

  • Intellectual property rights in final deliverables transfer to the client upon full payment.
  • AD retains the right to use work samples in our portfolio and marketing materials unless the client requests confidentiality in writing.
  • AD retains ownership of all pre-existing intellectual property, tools, frameworks, and methodologies used in the creation of deliverables.

4.3 Trademarks

“Adtorial Insights”, “AD”, and our logo are trademarks of Adtorial Insights Production. Third-party trademarks, logos, and brand names appearing on this website belong to their respective owners and are displayed for identification purposes only.

5. Payment Terms

Payment terms for services are specified in the applicable Service Agreement. The following general terms apply unless otherwise agreed in writing:

  • A deposit (typically 50% of the total project fee) is required before work commences.
  • The remaining balance is due upon completion of the project, prior to final delivery of all assets and files.
  • All fees are quoted in Malaysian Ringgit (MYR) unless otherwise stated.
  • Invoices are payable within 14 days of the invoice date unless otherwise specified.
  • Late payments may incur an administrative charge of 1.5% per month on the outstanding amount.
  • AD reserves the right to suspend or withhold deliverables until all outstanding payments are settled.

6. Client Responsibilities

To ensure successful project delivery, clients agree to:

  • Provide accurate and timely information, materials, and feedback as reasonably required.
  • Designate an authorised representative to make decisions and approve deliverables.
  • Respond to requests for approval within the timeframes specified in the Service Agreement.
  • Ensure that all materials provided to AD do not infringe upon any third-party intellectual property rights.

Delays caused by late provision of materials or feedback may result in adjusted timelines and, where applicable, additional fees.

7. Limitation of Liability

To the fullest extent permitted by Malaysian law:

  • Our website and its content are provided on an “as is” and “as available” basis without warranties of any kind, either express or implied.
  • AD shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our website or services.
  • Our total liability for any claim arising from or related to our services shall not exceed the total fees paid by you to AD for the specific engagement giving rise to the claim.
  • AD is not responsible for any loss or damage resulting from events beyond our reasonable control, including but not limited to natural disasters, war, government actions, internet service failures, power outages, or acts of third parties.

Nothing in these Terms shall exclude or limit our liability for fraud, wilful misconduct, or any liability that cannot be excluded or limited under Malaysian law.

8. Indemnification

You agree to indemnify and hold harmless Adtorial Insights Production, its directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your breach of these Terms, your use of our website, or any materials you provide to us that infringe upon third-party rights.

9. Confidentiality

Both parties agree to treat as confidential any proprietary or sensitive information disclosed during the course of an engagement. Confidential information shall not be disclosed to third parties without the prior written consent of the disclosing party, except as required by law. This obligation survives the termination of any engagement.

10. Termination

Either party may terminate a service engagement by providing written notice as specified in the applicable Service Agreement. In the absence of specific termination terms:

  • Either party may terminate by providing 14 days' written notice.
  • Upon termination, the client shall pay for all work completed up to the date of termination.
  • Any deposits paid for work not yet commenced may be refundable at AD's discretion, less any costs already incurred.
  • AD may terminate immediately if the client breaches these Terms or the Service Agreement and fails to remedy the breach within 7 days of written notice.

We reserve the right to restrict or terminate access to our website at any time without notice if we believe you are in violation of these Terms.

11. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Malaysia. Any disputes arising from or in connection with these Terms or our services shall be resolved as follows:

  • Negotiation: The parties shall first attempt to resolve the dispute through good-faith negotiation within 30 days of written notice of the dispute.
  • Mediation: If negotiation fails, the parties agree to submit the dispute to mediation administered by the Asian International Arbitration Centre (AIAC) in Kuala Lumpur.
  • Litigation: If mediation fails, either party may submit the dispute to the courts of Malaysia, which shall have exclusive jurisdiction.

12. Amendments

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting on this page with an updated effective date. Your continued use of our website or services after any changes constitutes your acceptance of the revised Terms. We encourage you to review this page periodically.

13. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

14. Entire Agreement

These Terms, together with our Privacy Policy and any applicable Service Agreement, constitute the entire agreement between you and AD regarding the use of our website and services, and supersede all prior agreements and understandings.
